Terms of Service

Effective [effective date] · Version draft-2026-09-28

Draft. This document is a draft that hasn't been reviewed or adopted yet, and isn't in effect. Bracketed items like [Company legal name] are placeholders.

These Terms of Service ("Terms") govern your use of Drive-In Online (the "Service"), provided by [Company legal name] ("we", "us"). By creating an account, signing up a theater, or buying a ticket through the Service, you agree to these Terms. If you use the Service for a business, you accept these Terms on its behalf and confirm you have authority to do so.

1. Accounts

You must give accurate information, keep your password secure, and tell us promptly about any unauthorized use of your account. You're responsible for what happens under your account. Employee accounts are created by a theater's owner or staff and belong to that theater.

2. Theaters

A theater "Owner" signs up a theater and is responsible for it, including everyone they invite to work there and the roles they give them. The Owner sets the theater's showtimes, prices, add-ons and ticket policies, and is responsible for them: for honoring tickets sold, for its refund and weather policies, for taxes on its sales, and for complying with the laws that apply to its business. We provide the software; we don't operate theaters and aren't a party to the sale of tickets between a theater and its guests.

3. Guests buying tickets

When you buy a ticket, you're buying it from the theater, under its policies shown at checkout. A ticket admits one car to the showing it was bought for and can't be used for another showing or date. Unless the theater says otherwise at checkout, sales are final: no refunds or exchanges for any reason, including weather. Questions about a showing or a ticket go to the theater.

4. Demo mode

A newly signed-up theater starts in demo mode, free of charge. Demo theaters aren't public, and their sales are test transactions: no money is charged and test tickets aren't valid for admission. We may delete test data when a theater goes live, and may remove demo theaters that have been inactive for a long time after notifying the Owner.

5. Subscription and billing

A theater that goes live subscribes to the Standard plan at the price shown on our Pricing page when it goes live (currently $__ per screen, per month). Fees are charged for each calendar month in which the theater's operating season, as set in its profile, is open; if no season is set, every month is billed. Fees are billed monthly in advance, exclusive of taxes, and are non-refundable except where the law requires otherwise. We'll give at least 30 days' notice of any price change, effective from your next season. [Billing method, payment terms and late-payment terms to be confirmed.]

6. Payment processing

Card payments for tickets are processed by a third-party payment processor under its own terms. Ticket proceeds belong to the theater. We don't store full card numbers. The processor's fees are separate from our subscription fees.

7. Acceptable use

You agree not to:

  • break the law, infringe others' rights, or sell tickets to events you don't have the right to show;
  • send spam, or collect other users' information without permission;
  • probe, scan or test the Service's security, overload it, or interfere with its operation;
  • access it by automated means except as we allow, or copy, resell or reverse engineer it (see License);
  • upload malicious code, or content that is unlawful, hateful or misleading.

8. Your data

Theaters own the data they put into the Service (their schedule, prices, staff and sales). You give us permission to host, process and back it up as needed to provide the Service. Our Privacy Policy explains how we handle personal information. You can ask for an export of your theater's data before you leave.

9. Our software

The Service and its software belong to us and our licensors. Your right to use it is described in the License, which is part of these Terms. Suggestions you send us may be used without obligation to you.

10. Availability and changes

We work to keep the Service available but don't guarantee it will be uninterrupted or error-free, and we may change or discontinue features. We'll give reasonable notice of changes that materially reduce what a paid plan includes.

11. Cancellation and termination

An Owner may cancel a theater's subscription at any time; it ends at the end of the current billed month, and no further months are billed. We may suspend or end access for a breach of these Terms, non-payment, or to protect the Service or others, with notice where practical. Sections 2, 3, 8 and 12–15 survive termination.

12. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE EXTENT THE LAW ALLOWS.

13. Limitation of liability

TO THE EXTENT THE LAW ALLOWS, WE WON'T BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE, AND OUR TOTAL LIABILITY FOR ANY CLAIM ABOUT THE SERVICE IS LIMITED TO THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM (OR $100 IF YOU PAID NOTHING).

14. Indemnity

Theater Owners will defend and indemnify us against third-party claims arising from their theater's events, ticket sales, policies or content, or their breach of these Terms.

15. Governing law

These Terms are governed by the laws of the State of [State], without regard to conflict-of-law rules, and disputes will be heard in the state or federal courts located there.

16. Changes to these Terms

We may update these Terms. We'll post the new version here with a new effective date and, for material changes, notify theater Owners by email at least 30 days in advance. Continuing to use the Service after changes take effect means you accept them.
